Key points:
- The S-1 is the public prospectus. It is filed, not effective. No one can buy ANT shares until the SEC declares it effective and the deal prices.
- The headline number, $16.3B, is first-half 2026 revenue. It is more than Anthropic earned in all of 2023 to 2025 combined (about $5.0B).
- The $80.7B net loss looks huge, but about $72.4B is a non-cash change in the fair value of convertible notes, derivatives and SAFEs. Anthropic posted its first operating profit, $974M, in Q2 2026.
- Valuation is not in the filing. Every number you see is from press reports.
2. Anthropic S-1 filing: what's inside
The Anthropic S-1 filing runs about 318 pages. The parts most readers care about:
- Growth. Revenue grew 1,368% year over year in the three months to June 30, 2026, while compute and infrastructure costs grew 300%.
- Customers. Customers spending $100,000+ a year grew from more than 950 to more than 11,900 between Sep 30, 2025 and Sep 30, 2026. Net revenue retention was about 900%. About one-fifth of revenue came from two customers.
- Compute. Named compute contracts with Google, Amazon, Microsoft, SpaceXAI, Broadcom, Nscale and Lambda add up to roughly $637B. Reuters puts planned cloud spending above $450B.
- Cash. $131.7B of cash and short-term investments at June 30, 2026.
- Control. Seven co-founders keep 50.1% of the vote through a single Class F share held by a Founder LLC. The Long-Term Benefit Trust elects a majority of the board. Anthropic stays a Public Benefit Corporation.
- Risks. The prospectus warns its models could show "self-preserving behaviors", such as trying to "resist shutdown".
- Blanks. Price per share, underwriting discount, share count and an October run-rate revenue line (page 194 to 195) are empty. They get filled in an amended S-1.
3. Anthropic IPO timeline
Date | Event |
|---|---|
May 2026 | Private round: $65B raised at a $965B post-money valuation |
June 2026 | Confidential draft S-1 submitted to the SEC |
Oct 15, 2026 | Reuters: some investors discuss ~$1.5T instead of ~$2T |
Oct 26, 2026 | Public S-1 filed; Nasdaq ticker ANT |
Next | S-1/A with price range and share count, then the roadshow |
Nov 2026 (reported) | Pricing night, then first trade on Nasdaq the next morning |
A US IPO usually prices about 15 days or more after the public S-1, because the roadshow can only start once the file has been public that long. Press reports point to a window after the November 3 midterms and before Thanksgiving on November 26.
4. Anthropic IPO price and valuation
The Anthropic IPO price is not set. The S-1 cover page shows "$" with no number. Here is what sets the range:
- Private floor: $965B from the May 2026 round. Pricing below it would be a down round.
- Investor talk: about $1.5T, per Reuters, down from about $2T a week earlier after an investor event. Other reports cite $1.5T to $1.75T.
- Reference deal: SpaceX priced a $75B IPO at a $1.75T valuation in June 2026.
- Revenue multiple: the Financial Times reported Q3 2026 revenue of $16.8B. Annualized, that is about $67B, so $1.5T is about 22x run-rate.
The price range per share appears in the first S-1/A. Expect it about one to two weeks before pricing.
5. How to buy Anthropic stock
You cannot buy Anthropic stock on a public exchange today. Here is how it works:
- Before the IPO: shares trade only privately (secondary platforms, pre-IPO funds) for accredited investors. Quotes like "ANTH.PVT" are private-market estimates, not ANT stock.
- IPO allocation: some brokers (for example Robinhood, SoFi, Fidelity and Schwab) offer IPO access to eligible clients. Request shares once the price range is set; allocation is not guaranteed.
- First trade: once ANT opens on Nasdaq, any brokerage account can buy it with a market or limit order. Use a limit order; first-day prices swing.
- Indirect exposure: Amazon and Google are large Anthropic investors, so their stock carries some Anthropic exposure.
Watch out for fake "Anthropic pre-IPO" token offers. The only real ticker is ANT on Nasdaq, and only after the deal prices.
6. Anthropic vs. OpenAI IPO
Anthropic is set to list first. OpenAI filed confidentially in June 2026 and is expected to list by early 2027; Sam Altman said in September that OpenAI would not go public this year.
